Item 5.07. Submission of Matters to a Vote of Security Holders.

The 2021 Annual Meeting of Stockholders (the “Annual Meeting”) of MedAvail Holdings, Inc. (the "Company") was held on June 29, 2021, via live webcast. As of May 3, 2021, the record date of the Annual Meeting, 31,945,803 shares of the Company’s common stock were outstanding and entitled to vote at the Annual Meeting. Present at the Annual Meeting in person or by proxy were holders of 26,205,206 shares, or approximately 82.03%, of the Company’s common stock, constituting a quorum for the transaction of business. The matters before the Annual Meeting are described in more detail in the Company’s definitive proxy statement filed with the United States Securities and Exchange Commission on April 30, 2021. The proposals voted upon at the meeting and the vote with respect to each such matter are as set forth below:

Proposal 1: Election of Directors. The stockholders voted for the following nominees as Class I directors to serve until the 2024 Annual Meeting of Stockholders and until their respective successors are duly elected and qualified. The following sets forth the results of the voting with respect to this proposal:

Proposal 2: Ratification of the Appointment of Independent Registered Public Accounting Firm. The stockholders voted to ratify the appointment of PricewaterhouseCoopers LLP as the Company’s independent registered public accounting firm for the fiscal year ending December 31, 2021. The following sets forth the results of the voting with respect to this proposal:

Based on the votes set forth above, the stockholders ratified the appointment of PricewaterhouseCoopers LLP as the Company’s independent registered public accounting firm for the fiscal year ending December 31, 2021.
